Conclusion of loan agreement between companies within the Capital Group of Grupa Pracuj S.A.

The Management Board of Grupa Pracuj S.A. with its registered office in Warsaw (the “Company”) informs that on October 22, 2025 the Company entered into a loan agreement with softgarden e-recruiting GmbH with its registered office in Berlin - a subsidiary of the Company, in which the Company indirectly holds 100% of the share capital and of the total number of votes. 

Under the agreement, softgarden e-recruiting GmbH granted the Company an unsecured loan in the amount of EUR 18,000,000, bearing interest at an annual rate of EURIBOR 6M plus the lender’s margin, with a repayment date set for 1 July 2027. The loan was granted for the purpose of financing the Company’s business operations. The agreement is governed by Polish law.

Additionally, the Company will enter into a subordination and assignment of receivables agreement with softgarden e-recruiting GmbH and BNP Paribas Bank Polska S.A. (acting as the security agent). Under this agreement, the receivables arising from the loan agreement will be assigned to the security agent and the loan will be subordinated in terms of repayment priority to the receivables of the bank consortium under the facility agreement, of which the Company informed in current report no. 11/2022. 

The Company’s Supervisory Board has granted its consent to the conclusion of the aforementioned agreements.
