Registration of the amendments to the Company's Articles of Association

The Management Board of Grupa Pracuj S.A. (the “Company”) informs that on August 09, 2022 the Company received the decision of the District Court for the capital city of Warsaw in Warsaw, 13th Commercial Division of the National Court Register regarding registration on the same day in the National Court Register of the amendments to the Company’s Articles of Association adopted based on the resolution no. 22/2022 of the Ordinary General Meeting of the Company dated June 22, 2022 („OGM Resolution”). About the adoption of the abovementioned resolution the Management Board informed in the current report no. 14/2022 of June 22, 2022.

The amendment of the Company’s Articles of Association adopted based on the OGM Resolution was made by repealing the existing text of the Articles of Association in their entirety and adopting the new, constituting at the same time the consolidated text. The amendments included in particular amendment of § 5, § 5¹, § 7, § 8, § 9, § 10, § 11, § 12, § 13, § 14, § 15, § 16, § 17, § 18, § 19, § 20, § 21, § 22, § 23, § 24, § 25, § 26, § 27 and repeal of existing § 28 and § 29 of the Articles of Association.

Furthermore, Company’s Management Board informs that by the resolution dated July 14, 2022 the Company’s Supervisory Board adopted consolidated text of the Company’s Articles of Association including, besides the new text of the provisions of the Articles of Association adopted by the OGM Resolution, also amendment of § 5 section 1 of the Articles of Association with respect to the amount of the share capital. Said amendment was adopted based on Management Board’s resolution dated May 23, 2022 - increase of the share capital within the authorized capital. The Company informed about this change being registered in the National Court Register in the current report no. 18/2022 dated July 11, 2022.
